Terms of Service

1. What LocalUGC is

LocalUGC is an online marketplace that connects local businesses ("Businesses") with content creators ("Creators") for paid user-generated content, through two listing types: Gigs (a Business commissions a specific deliverable from a Creator) and Contests (a Business funds a prize pool and Creators compete by submitting content). We provide the venue, listings, messaging, and payment tooling that let Businesses and Creators find one another and transact.

LocalUGC is only a venue. We are not a party to any agreement between a Business and a Creator. We are not an employer, agency, talent manager, broker, or joint venturer of any user. We do not create, commission, supervise, or own the content exchanged on the Platform, and we do not guarantee the quality, legality, safety, or outcome of any listing, submission, deliverable, match, or transaction.

3. Accounts and roles

To use most features you must create an account as either a Business or a Creator. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for all activity under your account and for keeping your login credentials confidential. Notify us immediately at localugcsupport@gmail.com if you suspect unauthorized use. We may refuse, suspend, or terminate accounts at our discretion, including as described in Sections 9 and 15.

4. How the marketplace works

Gigs

A Business posts a Gig describing the work and a price. Creators apply; the Business may accept an application. The accepted Creator uploads a video deliverable for review. The Business reviews the deliverable and either requests changes or approves it. Approval triggers immediate payment and the consequences described in Section 5.

Contests

A Business funds a prize pool ("pot") up front through our payment processor. Creators submit content, which may need to meet criteria stated in the listing (for example, a minimum view count on a designated platform) to qualify. The Business may approve qualifying submissions, which are paid from the pot. Unspent funds may be refunded to the Business when a Contest is cancelled, as described in Section 5.

Listings, prices, criteria, and usage expectations are set by Businesses. Creators are responsible for reading and understanding a listing before applying or submitting. We do not guarantee that any listing will be filled, that any application or submission will be accepted, or that any particular earnings, views, engagement, or results will be achieved.

5. Payments, fees, and payment finality

Payments and payouts are processed by our third-party payment processor, Stripe. By transacting on the Platform you also agree to Stripe's applicable terms, including the Stripe Connected Account Agreement (for Creators receiving payouts). LocalUGC does not collect or store full payment card numbers or bank account numbers; these are handled by Stripe.

Business subscriptions

Businesses may be required to maintain a paid subscription to post or keep listings active. Subscriptions renew automatically each billing period until cancelled. You may cancel at any time through your account or billing settings; cancellation takes effect at the end of the current billing period, and you retain access until then. Except where required by law, subscription fees are non-refundable and we do not provide refunds for partial periods.

Creators bear payment processing fees

Unless a listing states otherwise, the Business is charged the listed price and the Creator receives that price minus payment processing fees. In other words, processing fees are deducted from the Creator's payout, and the Creator nets the price less those fees.

Contests

Contest pots are funded up front. Approved, qualifying submissions are paid from the pot and such payments are final once made. If a Contest is cancelled, unspent funds remaining in the pot (the amount not already paid out) may be refunded to the Business through Stripe, less any amounts already committed or paid.

Taxes

You are solely responsible for determining, collecting, reporting, and remitting any taxes (including income tax and GST/HST) arising from your use of the Platform and from payments you make or receive. LocalUGC and/or Stripe may collect tax information and issue tax documents where required by law. LocalUGC does not provide tax, legal, or accounting advice.

Chargebacks and circumvention

Initiating a card chargeback instead of using the reporting and support process is a breach of these Terms; we may suspend or terminate accounts that engage in abusive chargebacks. You also agree not to circumvent the Platform's payment system — for example, by arranging payment off-platform for work that originated on the Platform in order to avoid fees, subscriptions, or these Terms.

6. Disputes between users

Because LocalUGC is only a venue, you are solely responsible for your interactions and agreements with other users, including the scope of work, usage rights, quality expectations, and timing. We are not obligated to mediate or resolve disputes between Businesses and Creators. We may, at our sole discretion and as a courtesy, attempt to assist, but any such involvement is voluntary, and our determinations in any voluntary process are final and do not create an obligation to act again.

Because Gig approval is final (Section 5), disputes about a Gig deliverable should be resolved before approval. Use the in-app messaging and the "request changes" option, and report problems to localugcsupport@gmail.com before approving if something is wrong.

7. Content ownership and licenses

Your content. As between you and LocalUGC, you retain ownership of the content you create and submit ("User Content"). You grant LocalUGC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, transmit, adapt (for formatting and delivery), and otherwise process your User Content solely as needed to operate, secure, and provide the Platform. This license ends for a given file when we delete it (for example, when a Gig deliverable is approved and the file is removed from our storage), except for residual copies in routine backups and as required to comply with law.

Rights to the Business that pays. Where a Creator delivers content for a Gig or a paid Contest submission, the usage rights the Business receives are those described in the listing and any agreement between the Business and the Creator. If the listing does not specify, the Business receives, upon payment, a non-exclusive, perpetual license to use the delivered content for the Business's own marketing and promotional purposes. Because LocalUGC deletes Gig files after approval and does not retain them, any delivery, storage, or ongoing access to the content is the responsibility of the Business and the Creator (see the callout in Section 5). Businesses and Creators are encouraged to agree on usage rights, exclusivity, and duration in writing through the Platform's messaging before delivery and approval.

Creator representations. You represent and warrant that you own or have all rights, licenses, consents, and permissions necessary for your User Content and the rights you grant, including rights to any music, footage, trademarks, locations, and the name, image, voice, and likeness of any person appearing in it, and that your User Content does not infringe or violate any third party's rights or any law.

Public content. Profiles, listings, handles, and similar information you choose to make visible may be displayed to other users and, where applicable, to the public, to operate the marketplace.

8. Acceptable use and prohibited conduct

You agree not to use the Platform to create, upload, post, submit, or transmit anything, or to engage in any conduct, that:

We may remove content, restrict features, and suspend or terminate accounts that we believe violate these Terms or create risk, with or without notice. We have no obligation to monitor User Content, but we may do so.

9. Reporting and enforcement

To report a listing, user, deliverable, message, or any content or conduct that you believe violates these Terms or the law, contact us at localugcsupport@gmail.com. Please include enough detail for us to locate and review the issue. We may investigate, remove or disable content, suspend or terminate accounts, preserve information, and cooperate with law enforcement, all at our discretion. Reporting a problem does not guarantee a particular outcome.

10. Intellectual property and copyright

The Platform itself — including LocalUGC's name, logo, software, design, and content we create — is owned by LocalUGC or its licensors and protected by law. We grant you a limited, revocable, non-transferable license to use the Platform in accordance with these Terms; no other rights are granted.

Copyright complaints. If you believe content on the Platform infringes your copyright, send a notice to localugcsupport@gmail.com including: identification of the work, the location of the allegedly infringing material, your contact information, a statement that you have a good-faith belief the use is unauthorized, and a statement that the information is accurate and you are authorized to act. We will respond to valid notices, including by removing infringing material, and we may terminate repeat infringers.

11. Third-party services

The Platform relies on and links to third-party services, including Stripe (payments and payouts), our hosting and database provider, and social media platforms where content may be posted. Your use of those services is subject to their own terms and policies. We are not responsible for third-party services and do not control them.

12. Disclaimers

The Platform is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by law, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Platform will be uninterrupted, secure, or error-free, that defects will be corrected, or that any content, match, listing, deliverable, payout, view count, earnings, or result will be accurate, lawful, or achieved. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

13. Limitation of liability

To the maximum extent permitted by law, LocalUGC and its owners, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or content, arising out of or relating to your use of (or inability to use) the Platform or any dealings with other users, even if advised of the possibility. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Platform will not exceed the greater of (a) the total fees you paid to LocalUGC in the twelve (12) months before the event giving rise to the claim, or (b) CAD $100. Nothing in these Terms limits liability that cannot be limited under applicable law, including certain rights you may have under consumer-protection legislation.

14. Indemnification

You agree to defend, indemnify, and hold harmless LocalUGC and its owners, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: your User Content; your use of the Platform; your violation of these Terms or any law; or your dealings or disputes with any other user or third party.

15. Termination

You may stop using the Platform and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, including for violations of these Terms or to protect the Platform or its users. Upon termination, your right to use the Platform ends. Provisions that by their nature should survive — including Sections 5 (for completed transactions), 6, 7, 10, 12, 13, 14, 17, and 18 — survive termination.

16. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and post the new version on this page. Material changes may be communicated through the Platform. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

17. Governing law and dispute resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Subject to applicable law, you agree that the courts located in Ontario, Canada will have exclusive jurisdiction over any dispute that is not otherwise resolved. Before filing any formal claim, you agree to first contact us at localugcsupport@gmail.com and attempt to resolve the matter informally in good faith.

18. General

These Terms (together with the Privacy Policy and any listing terms set by Businesses) are the entire agreement between you and LocalUGC regarding the Platform. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
